Background

I have 20+ years of experience serving in senior legal and business roles with global technology corporations, including  as General Counsel and Vice President of Licensing and Business Affairs with Pitney Bowes Software.   I have served as in-house counsel for and have represented software, cloud service provider and consulting companies.  I have earned a well-deserved reputation for providing smart, sensible, and cost-effective legal and business solutions to my clients.      

I have helped clients increase revenue by both implementing licensing models that protect their intellectual property and by structuring, drafting and negotiating effective agreements that provides for future growth opportunities and avoids unacceptable legal risks.  I have demonstrated success in achieving this objective throughout my career.  My sales and business colleagues and clients have always been my strongest advocates and they have consistently praised me for possessing not only superior legal skills but the business savvy and negotiation skills that has helped them generate additional revenue.             

  My experiences includes:      

  • Serving on management board of  directors and executive leadership teams and advising senior business  and sales executives.   
  • Structuring, negotiating and  drafting complex worldwide technology transactions, including software licenses, IaaS, consulting, IP and partner agreements, with enterprise/Fortune 500 clients,  strategic partners and vendors and federal, state and local governments   
  • Developing, revising and  managing software license and business models, as well as a software  compliance and software asset management processes that helped generate millions of dollars of incremental revenue.       
  • Training business and sales colleagues on negotiation strategy, counseling clients on developing appropriate software licensing metrics to effectively monetize software licenses, and leading negotiations with clients to finalize transaction and resolve software compliance issues.          
  • Advising clients on data privacy/cyber security issues, including the European Union data privacy requirements, government contracts, administrative and regulatory requirements, corporate strategy and risk management.  
  • Managing the HR/employment law  function.  

My experience with in-house technology corporations and my prior experience on Capitol Hill, have provided me with unique background and the ability to assist technology companies in structuring and negotiating complex technology transactions.   As frequently noted by my clients, I have the ability to develop and maintain strong relationships with counter parties during and following negotiations, to structure agreements that are fundamentally fair to both parties and ultimately grow business partnerships.
